These Supplier Terms apply to all vendors, subcontractors, manufacturers, distributors, and service providers supplying goods or services to Newtron MFG.
Suppliers shall provide products that conform to:

Sensitive components shall be properly protected from corrosion, contamination, and electrostatic discharge where applicable.
Suppliers are responsible for replacing or correcting nonconforming products at their expense unless otherwise agreed.
Suppliers shall protect all Newtron MFG and customer confidential information, including:

All drawings, specifications, tooling, software, and technical information supplied by Newtron MFG remain the property of Newtron MFG or its customers.

Where contractually required, Newtron MFG may audit supplier quality systems and manufacturing processes upon reasonable notice.
Suppliers agree to indemnify and hold Newtron MFG harmless against claims arising from supplier negligence, defective products, or failure to comply with contractual obligations.
These terms are governed by the laws of the State of Florida.
